Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and SHUYA rev.A L.L.C-FZ ("SHUYA", "we", "us"). By installing, accessing, or using the SHUYA.CAPITAL mobile application (the "App"), you agree to these Terms. If you do not agree, do not install or use the App.
2. Who may use the App
The App is provided exclusively to:
- Existing limited partners ("LPs") of investment vehicles operated by SHUYA who have signed subscription documents and undergone offline KYC verification, and
- Authorized counterparties and operators of SHUYA with whom SHUYA has a pre-existing written contractual relationship.
You may NOT use the App if you are not in one of the categories above. SHUYA grants access on a case-by-case basis after offline verification. No general public solicitation is intended.
You must be at least 18 years old to use the App.
3. What the App is — and is not
The App is a private information portal. It allows authorized users to view information about their participation in SHUYA Capital fund vehicles, including aggregated fund state, position data, and execution history.
The App is not:
- A trading platform — no orders are placed from the App
- A brokerage account — the App does not connect you to a broker
- A money management service — the App does not move, hold, or transfer funds
- Investment advice — figures displayed are informational only and do not constitute a recommendation to buy, sell, or hold any asset
- A solicitation — display of any data in the App does not constitute an offer to sell or a solicitation of an offer to buy any security
- The official books of the fund — the official records of the fund are maintained by the fund administrator. In any conflict between the App and the administrator's books, the administrator's books prevail.
4. Eligibility, accreditation, and KYC
You represent and warrant that:
- You have signed the relevant subscription documents and undergone offline KYC verification before being granted App access
- All information you have provided to SHUYA, including the email address you use to sign in, is accurate and complete
- You meet the eligibility criteria (including any accredited-investor, qualified-purchaser, or similar criteria) required by the fund documents and applicable law in your jurisdiction
- You will keep your sign-in credentials confidential and not share the App or its content with any unauthorized person
5. No investment advice
Information presented in the App is for general information purposes only. It does not take into account your financial situation, risk tolerance, or specific objectives. It is not investment advice, financial advice, tax advice, legal advice, or any other professional advice.
You should consult your own professional advisers before making any investment decision. Past performance is not a guarantee or reliable indicator of future performance.
6. Accuracy and timeliness of data
We make commercially reasonable efforts to keep the data in the App current and accurate. However, the App is a real-time visualization of operational systems and may at times display delayed data, cached data while offline, or indicative figures that have not yet been reconciled to the official books.
You should not rely on the App as the sole source of truth for any decision, financial or otherwise. The official books of the fund, maintained by the fund administrator, are authoritative.
7. Account security
You are responsible for safeguarding your sign-in credentials and any device on which you have signed in. We strongly recommend enabling Face ID or Touch ID unlock and a device passcode.
You agree to:
- Notify us immediately at security@shuya.capital if you suspect unauthorized access to your account
- Use a unique strong password
- Sign out of the App on any device you no longer use
We may suspend or terminate your access at any time if we reasonably believe your account is compromised.
8. Acceptable use
You may use the App only for its intended purpose. You agree NOT to:
- Reverse engineer, decompile, or disassemble the App, except as permitted by applicable law
- Probe, scan, or test the vulnerability of any system or network
- Attempt to access accounts or data of other users
- Use the App to harass, defame, or harm any person
- Scrape, copy, or republish data displayed in the App, except for your own personal records
- Use the App in violation of any applicable law
9. Intellectual property
All content in the App, including the SHUYA name and logo, software code, design, and documentation, is owned by SHUYA or its licensors and is protected by copyright and other intellectual property laws.
We grant you a personal, non-exclusive, non-transferable, revocable license to use the App solely for the purpose set out in Section 3. No other rights are granted.
10. Third-party services
The App relies on services operated by Apple, 650 Industries (Expo), Sentry, and Supabase. Your use of those services through the App is also subject to their respective terms.
11. Termination
You may stop using the App at any time and delete your account via Settings → Account → Delete account.
We may suspend or terminate your access immediately if you breach these Terms, with reasonable notice if we discontinue the App, or as required by applicable law.
Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) will continue in effect after termination.
12. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF DEFECTS, OR THAT DATA SHOWN WILL BE COMPLETE OR ACCURATE.
NOTHING IN THESE TERMS OR IN THE APP IS A GUARANTEE OF INVESTMENT RETURN OR FUND PERFORMANCE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHUYA, ITS OFFICERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, AND PROCESSORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR INVESTMENT, ARISING OUT OF OR IN CONNECTION WITH THE APP OR THESE TERMS.
OUR TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED USD 100 OR THE AMOUNT YOU PAID FOR THE APP IN THE PRECEDING TWELVE MONTHS (THE APP IS FREE), WHICHEVER IS GREATER.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
14. Indemnification
You agree to indemnify and hold SHUYA harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the App.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC) or, at SHUYA's election, the Meydan Free Zone dispute resolution procedures.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you via an in-app notification or via email. Continued use of the App after a material change constitutes acceptance.
17. Apple-specific terms (if installed from App Store)
These Terms are between you and SHUYA, not with Apple Inc. Apple has no obligation to provide any maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App's purchase price (if any); Apple has no other warranty obligations.
You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you. You represent that you are not located in a country subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
